Articles of Incorporation

Monterey County Sheriff's Posse
KNOWN ALL MEN BY THESE PRESENTS:
That the Monterey County Sheriff's Posse, an unincorporated association, desires to incorporate for purposes other than pecuniary profit, under the laws of the State of California, does hereby certify:
First: That the name of the existing unincorporated association which is being incorporated is the "Monterey County Sheriff's Posse". That the name of the corporation shall be the "Monterey County Sheriff's Posse".
Second: That the purposes for which the said corporation is formed are:
1. That it is organized for public and charitable purposes in being able to organize, conduct, manage, operate and conduct rodeos; to present, organize manage and conduct horse and cattle riding, roping and throwing exhibitions and contests; to buy, lease, erect, conduct, manage, operate and provide plants and grounds for rodeos and for horse and cattle riding, roping and throwing exhibitions and contests;
2. That it is a corporation which does not contemplate pecuniary gain of profit to the members thereof and all property now owned or acquired by the corporation is irrevocably dedicated to public and charitable purposes, and upon the liquidation, dissolution or abandonment of the corporation, the said property will not inure to the benefit of any private person except a fund, foundation or corporation organized and operated for public and charitable purposes;
3. To promote the good fellowship among horsemen in Monterey County and elsewhere;
4. To purchase, lease from others, and otherwise acquire, sell, convey, transfer, lease to others, and otherwise dispose of, mortgage, or otherwise encumber real or personal property;
5. To acquire, hold and sell the shares of other corporations, and negotiate for the sale, hypothecation, or disposal of the same; to borrow and loan money in connection with the foregoing purposes with or without security therefore; to execute notes, bonds, and all other obligations for money borrowed, property purchases, or otherwise acquired by this corporation, labor done, or services performed for this corporation, or any lawful purposes, and to secure the payment of the principal and interest of said notes, bonds, or other obligations by mortgage, pledge, hypothecation, deed of trust, or otherwise of any or all property owned or which may be acquired by this corporation; and generally to transact and carry on any other business, and to exercise any other powers which may be necessary, proper, or convenient to be carried on or exercised in connection with any of the foregoing purposes or incident thereto;
6. This corporation from time to time may do any one or more of the acts and things, or carry out any one or more of the purposes, herein set forth, and may transact business in the State of California, in the District of Columbia, in the districts dependencies, and colonies of the United States and in foreign countries.
Third: That the principal office for the transaction of the business of this corporation will be located in the County of Monterey, State of California.
Fourth: That the number of directors of said corporation shall be nine (9). That the names and addresses of the present directors of the Monterey County Sheriff's Posse, and who will become the directors of said corporation are:

Fifth: That the said corporation shall have not capital stock
Sixth: That the said corporation is not organized for pecuniary profit.
Seventh: That the membership in said corporation shall be limited to and comply with the By-Laws of said corporation.
Eighth: That the directors of this corporation shall have the right to levy dues or assessments against the members thereof in accordance with such By-Laws, rules or regulations as such corporation shall establish.
In Witness whereof, the said association has caused its president and secretary and the directors to execute these articles this 9th day of March, 1946.
